These Terms of Service (“Terms”) apply to your use of the NewAgeSMB website at http://localhost/newagesmb/ and to services provided by NewAgeSMB, a division of NewAgeSysIT (“NewAgeSMB”, “we”, “us” or “our”). By using our website or services, you agree to these Terms.
Our Services
We provide website design and development, local SEO, Google Business Profile and Google Maps optimization, answer engine optimization (AEO), Facebook and Instagram advertising, graphic design, video, content creation, copywriting and related services. The details of each project, including scope, deliverables, timeline and price, are set out in a written quote, proposal or agreement (“Agreement”). If an Agreement conflicts with these Terms, the Agreement controls.
Free Audits and Consultations
Our free growth audits and consultations are offered without obligation. They give our professional opinion based on the information available at the time and are not a guarantee of results.
Quotes, Fees and Payment
- Quotes are itemized and valid for the period stated on the quote.
- Fees, payment schedules and any recurring charges are set out in your Agreement.
- Advertising budgets you spend on platforms such as Google or Meta are separate from our fees, unless your Agreement says otherwise.
- We may pause work on overdue accounts after giving you notice.
Your Responsibilities
- Provide accurate information, content and approvals on time.
- Make sure you have the rights to any logos, photos, text or other materials you give us.
- Give us the account access we need, such as to your website, domain, Google Business Profile or ad accounts.
- Follow the rules of the platforms we work on for you, such as Google and Meta.
Approvals
We send work for your review before it goes live. Nothing is published without your approval. Once you approve work, you are responsible for its content.
Ownership
- Your website, Google Business Profile and ad accounts stay in your name.
- Once you have paid in full for a project, you own the final deliverables created specifically for you, such as your website design, written content and graphics.
- Third-party items such as themes, plugins, stock photos and fonts remain subject to their own licenses.
- We keep ownership of our own tools, templates and know-how, and we may show completed work in our portfolio unless you ask us not to.
Results
Search rankings, map positions, AI answers, ad performance and lead volume depend on many factors outside our control, including search engine and platform changes and your competition. We work to improve your results, but we do not guarantee any specific ranking, traffic, number of leads or revenue.
Third-Party Platforms
Our services rely on platforms such as Google, Meta, hosting providers and domain registrars. We are not responsible for their outages, policy changes, account suspensions or fees.
Using Our Website
You may use our website for lawful purposes only. You may not misuse it, including by sending spam through our forms, trying to gain unauthorized access, or copying our content for commercial use without permission. The website content, logo and design belong to NewAgeSMB or NewAgeSysIT.
Information on our website is for general purposes and may change without notice.
Cancellation
Either party may end ongoing services as set out in your Agreement. Fees for work completed before cancellation remain due.
Limitation of Liability
To the fullest extent allowed by law, NewAgeSMB is not liable for any indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim related to our services is limited to the amount you paid us for those services in the three months before the claim.
Our website is provided “as is” without warranties of any kind.
Indemnification
You agree to protect NewAgeSMB from claims arising from materials you provide or from your breach of these Terms.
Governing Law
These Terms are governed by the laws of the State of New Jersey. Any dispute will be handled in the state or federal courts located in New Jersey.
Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top shows when they were last changed. Continuing to use our website or services after a change means you accept the updated Terms.
